Rules Governing Limited Liability Companies as per the new Commercial Companies Law in the UAE:
Article 71 – Sole ownership –Article 8 provides that a limited liability company may be established by one natural or corporate person. This approach follows free zone regulations which allow the incorporation of a free zone establishment (FZE), which originally is a common law concept. Under the Existing Law, limited liability companies may only be established by a minimum of two founders and a maximum of fifty. The maximum limit of fifty partners still applies under the New Law.
Article 79 – Pledge of Quotas1 (shares) - The New Law provides that limited liability quotas (or shareholdings) may be pledged. The Existing Law is silent in respect of pledge of quotas, and so it is questionable whether quotas can be pledged legally. This new development will assist raising of debt finance by owners of limited liability companies and will enhance the security package that can be offered to the financiers. Pledge of quotas will add another level of comfort to beneficial owners of quotas (foreign investors) in respect of their shareholding relationship local registered owners (nominee).
Article 80 – Preemption Rights – preemption rights are still mandatory by operation to law under the New Law, as is the case under the Existing Law.
Article 83 – Company’s Managers – Under the New Law, companies may appoint one or more managers without setting out a maximum number of managers. Under the Existing Law, the maximum number of mangers is five.
Article 86 – Competition – Under the New Law, manager(s) of a company may not be allowed to operate any business in competition with the business of the company in question. Defaulting manager(s) will be discharged and compensate the company accordingly. This matter is not addressed under the Existing Law.
Article 93 – Invitations to General Assemblies– Invitations to general assemblies need to be sent out 15 days before the date of the meeting or less than 15 days if all partners agree. Under the Existing Law, the notice period required is 21 days which may not be abridged.
Article 96 – Quorum for General Assemblies – Under the New Law, general assemblies will not be valid unless attended by partners owning 75% of the capital of the company. If the quorum is not satisfied in the first meeting, the second meeting shall be called for within 14 days from the first meeting, which shall not be valid unless attended by partners owning 50% of the capital of the company. If the quorum is not satisfied in the second meeting, a third meeting shall be called for after the lapse of 30 days from the date of the second meeting, which shall be valid regardless the quorum attended such meeting. This means that the existing difficulties in achieving quorum general assemblies for public joint stock companies at the first attempt have been magnified by the New Law. Resolutions of general assemblies shall only be valid if approved by partners owning at least 50% of the capital of the company. Under the Existing Law, general assemblies may only be valid unless attended by partners owning 50% of the capital of the company. If the quorum is not satisfied in the first meeting, a second meeting shall be called for within 21 days from the first meeting, which shall be valid regardless of the quorum attended such meeting. Any amendment to the articles of the company requires the approval of partners owning at least 75% of the capital of the company.

اعترافا بازدياد أهمية التحكيم الدولي كوسيلة لتسوية المنازعات التجارية الدولية، تسعى اتفاقية الاعتراف بقرارات التحكيم الأجنبية وإنفاذها (الاتفاقية) إلى توفير معايير تشريعية مشتركة بشأن الاعتراف باتفاقات التحكيم وكذلك اعتراف المحاكم بقرارات التحكيم الأجنبية وغير المحلّية وإنفاذها. ويبدو أن التعبير "غير المحلّية" يتضمّن قرارات التحكيم التي وإن كانت قد صدرت في دولة الإنفاذ فهي تُعامل باعتبارها قرارات "أجنبية" بمقتضى قانون تلك الدولة وذلك بسبب وجود عنصر أجنبيّ ما في الإجراءات، مثلا لدى تطبيق القوانين الإجرائية الخاصة بدولة أخرى.
والهدف الرئيسي الذي ترمي إليه الاتفاقية هو السعي إلى عدم التمييز تجاه قرارات التحكيم الأجنبية وغير المحلّية؛ ومن ثم فإن الاتفاقية تلزم الدول الأطراف بضمان الاعتراف بتلك القرارات واعتبارها عموما قابلة للإنفاذ في ولاياتها القضائية على غرار قرارات التحكيم المحلّية. كما أن من الأهداف التبعية التي ترمي إليها الاتفاقية أنها تقتضي من محاكم الدول الأطراف أن تجعل اتفاقات التحكيم ذات مفعول تام، وذلك باقتضائها من المحاكم حرمان الطرفين من سبل اللجوء إلى المحكمة إخلالا باتفاقهما على إحالة مسألة خلاف إلى هيئة تحكيم.

The convention entered into force on 7 June 1959 (article XII).
In recognition of increased importance of international arbitration as a means of settling international commercial disputes, the convention on the recognition and enforcement of foreign (Convention) to provide a joint legislative criteria on the recognition of arbitration agreements as well as the court recognized the arbitral awards Foreign and non-local and enforcement. It seems that the expression " Non-local " includes awards, which were issued in the state of enforcement they are treated as a " Foreign " under the law of that state and it's because there is an element of Alien in the proceedings, for example, in the application of the laws of another state.
The main objective of the convention is to seek non-discrimination towards awards foreign and non-local; hence, the convention requires states parties to ensure the recognition of those decisions and generally as enforceable In their jurisdictions as awards local. It is also the objectives of the dependency of the convention require of the courts of the states parties to make arbitration agreements with full effect, and that, by requiring from both sides of the court denied access to the court a breach of the agreement On the issue of the court of arbitration.

Parents Must Tell their Children | Jihad El Haddad | Barister
People in a civilized society cannot live without law. Where the law of the jungle prevails, that is not a civilized society. To run the administration of a society very well defined laws are absolutely essential. These laws are for upholding order and providing protection to the aggrieved and dispensing punishment to the guilty. For the comfort and safety of the populace, laws are absolutely necessary. In the countries where there is good understanding between the people and the lawmakers, the laws are made for the benefit of the people and they therefore respect the laws. There can be general wellbeing if the people in a country are law abiding.
Respect for legitimate and people-friendly laws is essential and the parents have to explain about them to the children. When a child finds the parents crossing the road from the zebra crossing only, he feels that he must do likewise. He gets into the habit of following this rule of safety and may never transgress it.
The parents must tell the children that the cars and other fast moving vehicles have the right of way on the roads and the pedestrians can only use the zebra crossings when they require to cross to the other side of the road. Pedestrians trespassing on the roads commit an offence and also are exposed to the risk of accidents. When the child understands the advantage of abiding by the law, he becomes a good citizen.
